OrderFare is a service of SprintAI LLC ("OrderFare", "we", "us"). These terms cover restaurants that use OrderFare ("the shop", "you") and the people who order from them by text ("customers"). Section 6 is written for customers.
By creating an account, completing sign-up, or using OrderFare, the shop agrees to these terms. A shop accepts them at sign-up; we record who accepted, when, and which version. If we change these terms we will tell you in advance, and the new version applies to orders placed after it takes effect.
OrderFare provides ordering technology. Through it, a shop's customers order by text message, confirm their order, and pay the shop. OrderFare is not a restaurant, a seller of food, or a delivery company. The shop is the seller of every order placed through OrderFare and is the merchant of record for every payment. Payments are made to the shop's own Stripe account.
The confirmed order is the record. Before paying, the customer receives a read-back of the order and its total and confirms it. That confirmed order is the record of what was ordered and what it cost, and it is what the shop receives on its kitchen ticket.
If OrderFare's system charges more than the confirmed total, sends a ticket that differs from the confirmed order, or fails to deliver a paid order's ticket, OrderFare will credit the shop the amount affected, up to the value of that order, including any card fees on it. This credit is the shop's sole remedy for those errors.
OrderFare's assistant repeats the menu information the shop provides. It does not give allergen, dietary or food-safety assurances, and customers with allergies are directed to contact the shop. The shop is solely responsible for any allergen, dietary or food-safety information and for any harm arising from its food.
Alcohol, tobacco, cannabis and other age-restricted or regulated items may not be sold through OrderFare unless OrderFare agrees in writing.
Who delivers is set when the shop is set up. By default a shop's delivery orders are delivered by Uber. A shop that delivers with its own staff chooses that at set-up; only OrderFare can change it afterwards. Each order is delivered the way it was quoted, even if the setting later changes.
Shop delivery. The shop delivers and keeps its delivery fee and tips.
Uber delivery. Uber performs the delivery under Uber's terms. OrderFare requests the courier and passes along tracking and status updates; it does not perform, supervise or guarantee the delivery. The customer's delivery fee and driver tip are paid to OrderFare at checkout, and OrderFare pays Uber. Couriers leave orders at the door unless the customer asks otherwise. Late, lost, damaged or mishandled deliveries are Uber's responsibility: OrderFare will file the claim with Uber and pass any reimbursement Uber gives to whoever paid for the order. A late delivery does not make the shop responsible for the food, which the shop prepared and had ready.
Each customer payment is made to the shop's Stripe account. From it, OrderFare receives its per-order fee (currently $1.49, paid by the customer, not the shop) and, on Uber deliveries, the delivery fee and tip it pays to Uber. The shop receives the food and sales tax. Stripe charges its card fee on each payment: the shop pays Stripe's fixed per-transaction fee and the percentage on its food and tax; OrderFare pays the percentage on its own share, which it deducts from what it receives.
OrderFare's monthly fee is $99 per shop, billed by OrderFare. Design partners receive their first six months free. Pricing changes are communicated in advance.
When you order by text, you are buying from the restaurant, not from OrderFare. OrderFare provides the ordering technology on the restaurant's behalf. The restaurant prepares your order and is responsible for the food, any allergen or ingredient information, and refunds. Deliveries by Uber are made under Uber's terms; deliveries by the restaurant's own staff are the restaurant's. Before you pay, we read your order and total back to you; please check it carefully, because the confirmed order is what the restaurant receives. To cancel an order or for any problem with it, contact the restaurant; its number is on your receipt. Once a driver is on the way, the delivery fee cannot be refunded.
By participating in OrderFare's text-ordering service, you agree to the following:
By texting an OrderFare ordering number, you agree to receive text messages related to your order, including order confirmations, payment links, and responses to your inquiries. Message frequency varies based on your ordering activity. Message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for support. Carriers are not liable for delayed or undelivered messages.
Customer phone numbers and order information collected through your shop's OrderFare text-ordering number are owned by and belong to you. We store this data on your behalf and do not sell, share, or use this data for any purpose other than fulfilling orders and operating the OrderFare service. Upon termination of service, you may request export or deletion of your customer data.
The shop will provide accurate information about its business, keep its login secure, tell us promptly about any unauthorized use, and use OrderFare only lawfully. The shop's text-ordering number may be used only for orders and customer service related to orders.
The shop will defend and indemnify OrderFare against claims, fines and costs arising from the shop's food, menu, prices, preparation, delivery by its own staff, tax obligations, or use of its text-ordering number contrary to these terms.
Except for the credit in section 3, OrderFare is not financially responsible for customer complaints, refunds, credits, chargebacks, remakes or losses arising from food quality, food safety, allergens, order preparation, preparation times, pickup or delivery, or the shop's menu or prices. OrderFare's total liability under these terms is limited to the greater of the fees the shop paid OrderFare in the 12 months before the claim, or $100. OrderFare is not liable for lost profits, lost orders, or indirect or consequential damages, including during a service interruption. The service is provided as is, without warranties beyond those in these terms.
Either side may end service at any time. On termination the shop may ask for an export or deletion of its customer data. Amounts owed to OrderFare (including recovered Uber charges) remain due.
These terms are governed by the laws of the Commonwealth of Pennsylvania, and disputes will be resolved in the courts located there.
